Terms of Service

1. Introduction

Welcome to suHappy (“we”, “our”, “us”). By accessing or using our app, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the suHappy app.

2. Use of the App

Our app provides suggestions and recommendations based on user input. These are for informational purposes only and should not be considered professional advice.

3. No Liability for Suggestions

We do not guarantee the accuracy, completeness, or usefulness of any suggestions provided by our app. You acknowledge that any reliance on such suggestions is at your own risk. We are not responsible for any outcomes resulting from the use of these suggestions.

4. Free Trial

If you register for a free trial of one or more Services, suHappy will make the applicable Services available to you on a trial basis free of charge until the earlier of (i) the end of the free trial period, (ii) the start date of the paid subscription period, or (iii) termination by suHappy in its sole discretion. Any data that you enter into the Services, and any customizations made during the free trial will be permanently lost unless you purchase the corresponding paid subscription plan. Services are provided “as-is” during the free trial without any warranty, support, or liability.

5. User Conduct

suHappy reserves the right to oversee user activities on the platform but is not obligated to do so. Your usage of suHappy must comply with all relevant local, state, national, and international laws and regulations.

By accessing suHappy, you agree not to:

1. Share, post, or transmit content via suHappy that:
   • Is illegal, threatening, harassing, abusive, hateful, or intimidating.
   • Is defamatory, libelous, or intrudes on someone’s privacy.
   • Is deceptive, fraudulent, vulgar, obscene, sexually explicit, or otherwise objectionable.
   • Infringes on copyrights, trademarks, trade secrets, publicity rights, or other intellectual property without explicit permission from the owner.
   • Encourages unlawful actions, promotes criminal behavior, or provides instructions on illegal activities like hacking or phishing.
   • Contains malware, viruses, spyware, or any other code that disrupts, damages, or hijacks operations.
   • Includes unsolicited promotions, spam, chain letters, pyramid schemes, contests, or unauthorized advertisements.
   • Consists of sensitive or confidential materials that you have no legal right to share.
2. Impersonate any person or organization, including suHappy representatives, forum moderators, or community leaders, or falsely claim affiliations that do not exist.
3. Disrupt or interfere with the platform’s functioning, servers, or networks, or violate associated guidelines and policies.
4. Use suHappy to distribute promotional materials, solicit funds, or advertise products or services without prior written consent.
5. Attempt unauthorized access to suHappy, other accounts, systems, or networks through password exploitation or other illicit methods.
6. Employ automated tools like bots, scrapers, or crawlers to collect data, bypass security measures, or alter suHappy’s structure.
7. Engage in any conduct that suHappy deems inappropriate, unauthorized, or disruptive to the community.

Violating these rules may lead to immediate suspension or termination of your access to suHappy at our sole discretion, without prior notice.

6. Age Restriction

The app is not intended for children under the age of 13. By using the app, you represent that you are at least 13 years old.

7. Fees and Payments

The suHappy app is offered on a subscription basis. You agree to pay all applicable fees in connection with your subscription plan. If you fail to pay the subscription fees, your access to the app will be terminated. Subscription fees are exclusive of any taxes, levies, or duties imposed by taxing authorities, and you are responsible for the payment of all such taxes, levies, or duties.

8. Order Image Retention Policy

Active Customers
suHappy retains order-related images until the respective bills are closed and orders delivered.

• After payment is received and all associated orders are delivered, the data will be retained for an additional one-month period before being permanently deleted.
• If the billing feature is not used, order images will be automatically deleted one month after the order has been delivered.

Trial Users
For users on a trial plan who do not convert to a paid subscription:

• All order-related images — including those associated with:
  • Bills (regardless of status),
  • Orders (regardless of status), and
  • Customer records,

will be deleted 15 days after the trial ends, provided the account remains inactive for one month beyond the trial period.

Inactive Subscribers
For users whose paid subscription has expired and is not renewed:

• All associated images — including those related to:
  • Bills (any status),
  • Orders (any status), and
  • Customer measurements,

will be deleted after three months of inactivity following the subscription end date.

9.Trial Period Policy

suHappy offers a 15-day trial period. If the user does not upgrade to a paid subscription within this period, all images under the respective login account will be deleted after one month.

10. Modifications to the App and Terms

We reserve the right to modify or discontinue the app, and these Terms, at any time without notice. Your continued use of the app after any changes indicates your acceptance of the new Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India.

Before initiating any legal action, you agree to first contact suHappy at [support email] to attempt to resolve the dispute informally. suHappy will make reasonable efforts to resolve disputes through good-faith negotiations.

If a dispute cannot be resolved within 30 days of notice, it shall be referred to and finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed mutually by the parties. The seat and venue of arbitration shall be Bangalore, India, and the proceedings shall be conducted in English. The arbitrator’s award shall be final and binding on both parties and may be enforced in any court of competent jurisdiction.

Nothing in this section shall prevent either party from seeking interim or injunctive relief from the courts in Bangalore, India, to protect its rights pending arbitration. The courts in Bangalore, India, shall have exclusive jurisdiction over any such matters.

12. Account Termination

suHappy reserves the right, at its sole discretion, to suspend or terminate your account and access to the app at any time, with or without prior notice, if:

• You violate these Terms of Service or any applicable law or regulation.
• You engage in abusive, fraudulent, or harmful behavior within the app.
• You fail to pay applicable subscription fees.
• Your account remains inactive for a prolonged period as outlined in our Order Image Retention Policy (Section 8) and Trial Period Policy (Section 9).

Upon termination, your right to use suHappy will immediately cease. Any order-related images and customer data will be retained or deleted in accordance with our Retention Policies (Sections 8 and 9).
You may also terminate your account at any time by discontinuing use of the app. Please note that subscription fees already paid are non-refundable, except as required by law.

13. Refund & Cancellation Policy

• Cancellations:
  You may cancel your subscription at any time. Your access will remain active until the end of your current billing cycle, after which your subscription will not renew.
• Refunds:
  • Subscription fees are non-refundable once paid, except as required by applicable law.
  • Partial refunds for unused subscription periods are not provided.
  • Refunds may only be issued in cases of duplicate billing, technical errors in payment processing, or other circumstances at suHappy’s sole discretion.
  • If you purchased a subscription through the Apple App Store or Google Play Store, all refund requests must be made directly through those platforms in accordance with their policies.
• Free Trial:
  If you are on a free trial and do not upgrade to a paid subscription, your access will automatically end at the conclusion of the trial period, and no charges will be applied.

14. Intellectual Property Rights

Ownership of App
All rights, title, and interest in and to the suHappy app, including but not limited to its design, features, functionality, software, trademarks, logos, and content (excluding User-Generated Content), are and shall remain the exclusive property of suHappy and its licensors. These Terms do not grant you any rights to use suHappy’s name, trademarks, logos, or other brand features except as expressly permitted.

Limited User License
Subject to compliance with these Terms, suHappy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the app solely for your personal or business use. You may not copy, modify, distribute, sell, or lease any part of the app, nor reverse-engineer or attempt to extract the source code, except as permitted by law.

User-Generated Content
You retain ownership of any content you upload, submit, or transmit through the app, including images and customer-related data (“User-Generated Content”). By submitting such content, you grant suHappy a India wide, non-exclusive, royalty-free license to store, process, use, and display the content solely for the purpose of operating and improving the app.

suHappy will not sell, license, or share your content with any third-party applications or services, except:

• Where you explicitly choose to share the content yourself through features provided in the app; or
• Where required by law or legal process; or
• With trusted service providers acting on suHappy’s behalf (e.g., cloud storage or hosting providers), bound by confidentiality and data protection obligations.

You represent and warrant that you have all necessary rights to submit User-Generated Content and that such content does not infringe on any third-party rights. suHappy may remove or disable access to any User-Generated Content that it deems violates these Terms or applicable law.

15. Third-Party Services

suHappy may use third-party service providers to facilitate or support the operation of the app, including but not limited to payment processors, cloud hosting, storage, analytics, and communication services. By using the app, you agree that your information may be transferred to and processed by such providers solely for the purpose of providing suHappy’s services.

While suHappy takes reasonable measures to engage reputable providers and safeguard your data, suHappy is not responsible for the acts, omissions, availability, or reliability of such third-party services. Your use of those services may be subject to additional terms and privacy policies imposed by the respective providers.

User-Generated Content and related data may be processed and stored outside of India, including in Singapore and Germany. By using the app, you consent to such cross-border transfers of your data for the purposes of delivering the service.

16. Limitation of Liability

To the maximum extent permitted by applicable law:

• suHappy shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, business interruption, goodwill, data, or other intangible losses, arising out of or in connection with your use of or inability to use the app.
• In no event shall suHappy’s total cumulative liability for any claim or cause of action arising under these Terms exceed the total subscription fees actually paid by you to suHappy in the six (6) months preceding the event giving rise to such claim.
• Nothing in these Terms shall limit or exclude liability for matters that cannot be excluded under applicable law, including but not limited to liability for fraud, gross negligence, or willful misconduct.
